JC Data Solutions Announces It Is Completing a Reduction in Outstanding Shares by 40%

JC Data Solutions, Inc. (PINKSHEETS: JCDS) announced today it plans to reduce the company's total outstanding shares. The company is returning to its treasury 250 million common shares.

Cary Allen, JCDS's Chairman and Chief Executive Officer, said, "In an attempt to increase shareholder value we plan to reduce outstanding shares this year. We began the fiscal year with approximately 270 million common shares outstanding and have increased that number to approximately 620 million outstanding shares through insider share distribution. We have reconsidered our position and decided to bring back our outstanding shares to approximately 370 million shares. We are also considering buying back shares in the open market during 2008."

JC Data Solutions Receives Confirmation From Transfer Agent in Reduction of Outstanding Shares and Has Filed With the Delaware Secretary of State to Reduce Authorized Shares by 38%

JC Data Solutions, Inc. (PINKSHEETS: JCDS) today announced confirmation of reduction of the Outstanding Shares to 370,000,000 common shares and has filed with the Delaware Secretary of State that the company's lawful and documented Authorized Shares be reduced by 38% to 500,000,000 common shares per the company's board resolution adopted earlier this month.

The company believes the reduction in its Authorized Shares will further enhance shareholder value, and eliminate any market concerns about potential mass dilution of the company's stock. The 38% reduction of the Authorized Shares of the company in no way reduces the shares held by current shareholders.

JC Data Solutions, Inc. (PINKSHEETS: JCDS) announced today that it is to take steps to combat illegal trading activities and start the process to conduct share counts of its securities.

The company has received evidence that certain brokers may have issued phantom shares and according to the NASDAQ Regulation SHO Threshold List, short list, JCDS has been listed for over forty days, confirming our suspicions that stock manipulations have taken place.

"Our intentions with this announcement is not to alarm our investors but to inform them that we are aware of the likelihood of stock price manipulation involving JCDS stock," said Cary Allen, CEO JC Data Solutions. "Our business continues to grow with a recent adding of two new resellers; one in the northeast (TMG Documents) and one in Texas (Lone Star Marketing Company). Considering we are a non-reporting company, proper release of revenue figures cannot occur at this time but virtually all areas of our business have shown increased revenues over the last year as well as our overall debt and overhead have remained low. This all being said we see no reason for our price per share to remain at this low level and we intend to take the necessary action to protect our shareholders from what we believe to be manipulation or our stock price. JCDS...my top pick for the following reasons:

(1) They reduced O/S and A/S (very few Companies trading on the Pink Sheets actually reduce O/S and A/S, and not via some bogus scam reverse split or other shady business. Most other Companies increase O/S and A/S, and often increase it to astronomical figures. QuoteMedia - News

(4) Which means no dilution!;

(5) And they owe $122k in taxes for 2007! If that $122k represents only the Delaware corporate tax of 8.7%, that means JCDS had revenues/income/profits of approximately $1.5 million in 2007!. Even if it represents Federal and Delaware tax, it still means JCDS had revenues of approximately $400-$500k

(6) Granted that's not a lot of money, but for pink sheet company to (a) generating revenue; (b) without dilution; (c) without toxic financing; (d) with little overhead; (e) reducing its O/S and A/S!!!

(7) JCDS is trading at sub-penny, which means its dirt cheap with lots of room to move higher for huge percentage gains! In comparison, if JCDS were already trading at say .17, it wouldn't look so great because it wouldn't be so undervalued at that point. At .002, sub-penny, its cheap enough to load up here with relatively low risk but huge potential gains;

(8) JCDS is preparing financials to update Pinksheets.com (I can't pin anyone down on a timetable, but if those financials truly are filed and they are pretty decent, WATCH OUT!!! JCDS GONNA BE THE PLAY OF 2008! of course, if financials suck, I never heard of JCDS, LOL!

per conversation with Reg. Agent, as of 2/12/08 the share stucture is what was PR'd - 500mill.

Reg. Agent also stated JC Data has not paid there 2007 taxes due as of
March 1st 2008. The amount due is $ 122,610.61 and carries intrest penalty of 1 1/2% per month.

I would think it is a good thing they have to pay tax, it shows they are making money, and not still writting off loses. I don't know how much they are earning, but the tax amount would imo indicate that they are doing well.
